Effective date: 19 October 2026. This document governs Al Shula advertising and digital marketing services and is separate from the delivery-service terms.

1. Scope and acceptance

These terms apply to paid advertising, digital campaign management, social media management, content creation, design, branding and other marketing services agreed with Al Shula. Confirming a proposal or order, or making the agreed payment, constitutes acceptance of the terms applicable to that service.

2. Service order and proposal

  • The proposal, agreement or invoice defines the scope, service type, duration, fees and any separate advertising-media budget.
  • Work outside the agreed scope requires further approval and may require additional fees or time.
  • Work begins after required materials, approvals and any required starting payment are received.

3. Client responsibility for information and content

  • The client is responsible for the accuracy of information, prices, offers, claims and materials provided for publication.
  • The client confirms that it has the right to use the logos, images, text, marks and other materials supplied to Al Shula.
  • The client must not request content that is unlawful, misleading, infringes third-party rights or breaches an advertising platform's rules.

4. Fees, media budget and payment

  • Service-management fees and any budget allocated to advertising platforms are identified separately where applicable.
  • Where an agreement includes third-party media spend, amounts spent or committed on the platform are subject to the platform's settlement and are not Al Shula management fees.
  • A campaign need not start or continue if required payments or media budget are unavailable under the agreement.
  • Taxes, fees or external charges shown in the proposal or invoice are handled as disclosed before confirmation.

5. Approvals and changes

  • Depending on the service, Al Shula may send designs, copy or campaign settings for approval before publication.
  • Client approval authorises publication or launch of the approved version.
  • Changes after final approval or campaign launch may affect time, cost or performance.

6. Third-party advertising platforms

Campaigns depend on third-party platforms such as Meta, Google, TikTok or others. Ad approvals, auction pricing, reach, account restrictions and technical changes are controlled by those platforms. Al Shula cannot require a third-party platform to accept or continue running an advertisement.

7. Results and performance

Al Shula undertakes to perform the agreed professional service but does not guarantee a fixed number of sales, customers, profits, views, clicks or a permanent ranking. Results are affected by the market, competition, budget, platform, offer quality, product, audience behaviour and other factors outside direct control.

8. Refusing or suspending a campaign

  • Al Shula may refuse or pause content that appears unlawful, misleading, contrary to platform rules, or likely to put accounts or audiences at risk.
  • If a third-party platform suspends an ad or account, Al Shula may assist within its available permissions, but the platform's decision alone is not a failure by Al Shula.

9. Cancellation and refunds

  • Before work starts, cancellation is handled under the proposal or agreement and any external costs actually incurred.
  • After work starts, fees for work and services already performed up to cancellation are not refundable.
  • Any unused advertising-media budget is settled after confirming that it has not been spent, reserved or committed to the platform or payment provider; the timing of any return is subject to the relevant external provider's process.
  • If a campaign is stopped because client-supplied content, claims or products breach a platform rule after work has begun, that does not cancel fees for work already performed; any unused external media budget is settled separately.
  • If part of the service cannot be provided because of an error by Al Shula, the unperformed portion is handled through correction, credit or refund as appropriate to the agreement.

10. Intellectual property and files

  • Original client materials remain the property of the client or their respective rights holders.
  • Rights to use or receive materials created by Al Shula depend on the agreed service and settlement of amounts due.
  • Internal tools, templates, workflows and source files not expressly agreed for delivery do not transfer automatically to the client.

11. Accounts and access

Where service delivery requires access to advertising accounts, pages or digital assets, the client should grant only the appropriate permissions. The client is responsible for protecting login credentials and using available security controls. Al Shula should not request passwords or verification codes beyond the approved connection method.

12. Data and privacy

Data needed to manage the service, communicate and measure performance is processed under the Privacy Policy. The client remains responsible for customer or audience data it collects and for obtaining required consents where applicable.

13. Limitation of liability

To the extent permitted by law, Al Shula is not responsible for losses caused by third-party platform decisions, outages, algorithm changes, market competition or incorrect information provided by the client. This does not exclude rights that cannot lawfully be excluded.

14. Complaints and issue resolution

A complaint or issue may be submitted through official contact channels with the proposal or campaign reference and relevant details. Records, approved materials and invoices are reviewed before a decision is made.

15. Governing law

These terms are governed by the laws and regulations in force in the Republic of Iraq. The parties should first attempt to resolve disputes amicably through official contact channels.

16. Changes to these terms

These terms may be updated when services, platform requirements or legal and regulatory requirements change. The effective date of the published version appears at the top of this document.
